Nitev Advertising Agency and Web Design Service and Usage Agreement

1. Parties
This agreement is entered into between "Nitev Advertising Agency and Web Design" (hereinafter referred to as "Nitev") and the client receiving services (hereinafter referred to as "Client").

2. Purpose
This agreement is prepared to regulate the scope of advertising, web design, software, and digital marketing services provided by Nitev, as well as the rights and obligations of the parties.

3. Description of Services
3.1. Advertising Services: Planning, execution, and reporting of advertising campaigns in digital and traditional media.
3.2. Web Design Services: Design, development, hosting, and updates of websites.
3.3. Digital Marketing: SEO, SEM, social media management, and content marketing.
3.4. Other Services: Custom projects, software solutions, and design projects upon request.

4. Rights and Obligations of the Parties
4.1. Obligations of Nitev:

• Delivering services on time and in accordance with the agreement.

• Ensuring the confidentiality of the information provided by the Client.

• Providing technical support during the service period.

4.2. Obligations of the Client:

• Providing the necessary information and documents required for the requested service to Nitev on time.

• Paying the agreed service fee on time.

• Ensuring the legal use of the provided service.

5. Payment Terms
5.1. Payment shall be made in accordance with the plan agreed upon by the parties.
5.2. Nitev reserves the right to suspend services in case of payment delays.

6. Service Duration and Termination
6.1. The agreement is valid for the duration of the service agreed upon by the parties.
6.2. Either party may terminate the agreement by providing written notice to the other party.
6.3. In case of a breach of contract by the Client, Nitev may terminate the service and claim compensation for financial damages.

7. Confidentiality and Copyrights
7.1. Nitev shall not share information obtained during the service process with third parties.
7.2. All designs and content created during the service process shall be transferred to the Client upon full payment. However, Nitev reserves the right to showcase this work in its portfolio.

8. Limitation of Liability
Nitev shall not be held responsible for problems arising from incomplete or incorrect information provided by the Client. Additionally, liability is limited for interruptions in service caused by unforeseeable technical issues.

9. Dispute Resolution
Any disputes arising from this agreement shall be governed by the laws of the Republic of Turkey, and the courts of Kırşehir shall have jurisdiction.

10. Effective Date
This agreement becomes effective upon the approval of the parties and remains valid until the cooperation between the parties ends.

11. Additional Provisions
Additional service requests shall be considered an annex to this agreement, subject to mutual agreement of the parties.

The parties declare that they have read, understood, and accepted this agreement.
